Senior Manager, Legal Operations
Madrigal is a biopharmaceutical company pursuing novel therapeutics for non-alcoholic steatohepatitis (NASH), also known as metabolic dysfunction associated steatohepatitis (MASH). Our first therapy, Rezdiffra (resmetirom), was granted accelerated approval by the U.S. Food and Drug Administration (FDA) for the treatment of adults with NASH with moderate to advanced liver fibrosis (consistent with stages F2 to F3 fibrosis) and is being studied in a Phase 3 trial for the treatment of NASH with compensated cirrhosis.
Role Overview:
Senior Manager, Legal Operations
Reporting to the VP Employment Law, the Senior Manager, Legal Operations will support the Legal & Compliance Department across all functional areas, including corporate governance, contracts, IP, employment, litigation, transparency, and Legal operations. This role will also work with other cross-functional groups, including Finance, Communications, Human Resources, and Executive Leadership.
Position Responsibilities:
- Assistance with corporate governance processes, including preparing, organizing, and filing materials and minutes for senior meetings, including resolutions, meeting minutes, and other documentation
- Support the preparation and filing of SEC documents, including disclosure statements,10-K, 10-Q, 8-K, and annual proxy
- Support planning and logistics related to annual meeting of shareholders
- Support applications and filings to do business in new jurisdictions and applicable annual reporting, fees and other obligations necessary to maintain qualifications, etc.
- Support contracts management process and systems
- Support Compliance and other committee meetings
- Support general corporate and legal matters and other special projects, including those related to IP, employment, litigation, immigration, regulatory matters, and risk management
- Assist in the maintenance and review of the Legal department’s budget, including submitting requests for POs for legal vendors and other administrative activities
- Perform other miscellaneous duties and responsibilities as may be requested from time to time.
- Requires a BS/BA degree and 7+ years of experience as a corporate paralegal, project manager, or similar function in the legal department of publicly traded companies or law firms; experience with biotechnology/pharmaceutical/life sciences industry is preferred
- Team player with a positive attitude, strong work ethic and good sense of humor, who acts with urgency, agility, accountability, humility and willingness to “roll up sleeves” to get things done
- Professional with discretion to handle confidential and sensitive matters
- An understanding of corporate governance best practices, including processes and procedures related to entity administration and SEC reporting preferred
- Possess sound business judgment and strategic, analytical thinking
- Be self-motivated, flexible and interested in working on a wide range of legal and governance matters
- Experience working with senior management, and cross-functional teams with the ability to take initiative and multi-task
- Excellent organizational/project management skills and attention to detail
- Superior written and verbal communication skills
- Proficiency in Microsoft Office Suite (Word, Excel and PowerPoint)
- Ability to adapt to changes in the work environment, and manage competing demands and deadlines
- Notary license is a plus
- This role will be based in Waltham, MA, with a 3-day in-office requirement.
- Occasional travel for team/company meetings
Base salary is determined by several factors that include, but are not limited to, a successful candidate's qualifications, skills, education, experience, business needs, and market demands. The role may also be eligible for bonus, equity, and comprehensive benefits, which include flexible paid time off (PTO), medical, dental, vision, and life and disability insurance.
